Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and ON Aspect ApS, a company registered in Denmark (CVR 46552091) (“ON Aspect”, “we”, “us”), governing your use of the spotops mobile application and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service
spotops helps photographers save, organise, and share location “spots”, reference photos, and shooting conditions. We may add, change, or remove features at any time.

Eligibility and your account
- You must be at least 16 years old to use the Service.
- You agree to provide accurate information and to keep your login credentials confidential.
- You are responsible for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised use.

Licence to use the app
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Service for your personal, non-commercial use on devices you own or control. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the source code of the app, except where such restriction is prohibited by law.

Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in breach of any applicable law;
- upload, store, or share content you do not have the rights to, or that is illegal, infringing, deceptive, harmful, or abusive;
- use the sharing features to harass others or to distribute another person's content or location without permission;
- attempt to disrupt, overload, reverse-engineer, probe, or gain unauthorised access to the Service, other users' data, or our infrastructure;
- use the Service to build a competing product or to scrape data at scale.

Your content
You retain ownership of the spots, photos, notes, and other content you add (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to operate, secure, and improve the Service and to make it available to the people you choose to share it with. This licence ends when you delete the content or your account, except for copies retained in backups as described in our Privacy Policy. You are responsible for Your Content and confirm you have the rights to it. We may remove content that violates these Terms.
Shared and contributed content. When you contribute to a spot that another user owns and has shared with you, the photos you add remain yours and are removed if you delete them or your account. Other contributions you make to that spot — such as notes or edits to shared details — become part of the owner's spot and may remain with the owner after you stop sharing or delete your account, as that spot is theirs. Conversely, contributions other people make to spots you own stay with your spots and are removed for everyone when you delete the spot or your account. This does not affect your statutory data-protection rights, including erasure of your personal data, which are described in our Privacy Policy.

Intellectual property
The Service, including the app, the “spotops” name, branding, and all related software and design, is owned by ON Aspect and protected by intellectual-property laws. These Terms grant you no rights in it other than the licence above.

Subscriptions and payments
Spotops offers a free trial, after which continued use requires a paid subscription (offered on a monthly and an annual basis). The price and exactly what's included are shown in the app before you purchase; prices vary by country and may change over time, and the current price for your region is always the one displayed at the point of purchase. Payments and renewals are processed by the store you installed from — Apple via your App Store account or Google via your Google Play account — and are subject to that store's terms. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period; you manage or cancel them in your App Store or Google Play settings. Refunds are handled by the relevant store; as a general rule we do not refund the current subscription period, without prejudice to your mandatory statutory rights as a consumer.

EU right of withdrawal (consumers)
If you are a consumer in the EU and purchase a paid subscription, you normally have a 14-day right to withdraw from the contract. Because a subscription gives you immediate access to digital content, by starting your subscription you expressly request immediate performance and acknowledge that you lose the right of withdrawal once the service has been fully performed.

Apple App Store
The following applies because you obtain the app through Apple's App Store:
- These Terms are between you and ON Aspect only, not Apple. Apple is not responsible for the Service or its content.
- Your licence to use the app is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
- ON Aspect, not Apple, is solely responsible for the app and for providing any maintenance and support; Apple has no obligation to do so.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund any purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation for the app.
- ON Aspect, not Apple, is responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, and consumer-protection claims, and any third-party intellectual-property claims.
- You must comply with applicable third-party terms when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you obtain the app through Google Play, your use is also subject to the Google Play Terms of Service.

Third-party services
The Service relies on third-party providers (including Apple, Supabase, Cloudflare, Mapbox, Sentry, and Resend) as described in our Privacy Policy. We are not responsible for third-party services, and your use of them may be subject to their own terms.

Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, secure, error-free, or that data will not be lost — particularly during the beta. This does not affect any warranties or rights that cannot be excluded under applicable consumer law.

Limitation of liability
To the maximum extent permitted by law, ON Aspect will not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, revenue, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Danish or EU law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for your mandatory statutory rights as a consumer.

Suspension and termination
You may stop using the Service and delete your account at any time (
Settings → Account). We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including content licence for backups, intellectual property, disclaimers, limitation of liability, and governing law) will survive. -
Changes
We may update these Terms from time to time. If we make material changes we will update the date above and, where appropriate, notify you in the app. Changes take effect when posted; your continued use of the Service after that means you accept the updated Terms.

Governing law and disputes
These Terms are governed by the laws of Denmark, without regard to its conflict-of-laws rules. If you are a consumer, you also benefit from any mandatory consumer-protection provisions of the country where you live, and you may bring proceedings in your local courts.
If you are a consumer and we cannot resolve a dispute directly, you may refer it to a national alternative-dispute-resolution (ADR) body. In Denmark this is the Danish Competition and Consumer Authority's Centre for Complaint Resolution (Center for Klageløsning, Nævnenes Hus). A list of recognised ADR bodies across the EU/EEA is available from the European Commission at consumer-redress.ec.europa.eu.

General
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for failures caused by events beyond our reasonable control. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
